End-user license.

Subject to your continued compliance with this Agreement, QTracks grants you a royalty-free, perpetual, non-exclusive, non-transferable, non-sublicensable license to install and use the Software, in object-code form only, for your business or personal purposes, on devices you personally own or directly control. No payment and no license key are required.

We may, in future, introduce paid editions or paid features of QTracks. Any such change applies only to those editions or features and does not retroactively impose a fee on builds you have already downloaded under this Agreement.

You are entitled to every future update of the Software made generally available at no cost, including bug-fix releases, feature releases, and major-version releases (for example v2, v3, and any subsequent major version). Updates are delivered as signed builds through the in-app updater and our public release channel.

You may not, and may not permit any third party to:

• reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent that such activity is expressly permitted by mandatory applicable law;
• modify, adapt, translate, or create derivative works based on the Software;
• sell, rent, lease, sublicense, distribute, transfer, or assign the Software, in whole or in part;
• remove, alter, or obscure any proprietary notices, labels, or marks on or in the Software;
• use the Software in a manner that violates applicable export-control laws or sanctions.

The Software is licensed, not sold. QTracks retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set forth in this Agreement.

You retain all right, title, and interest in any project files, audio stems, marker data, cue lists, exported macros, exported XML, and other content you create using the Software (“User Content”). QTracks claims no ownership of User Content.

The Software incorporates third-party open-source components, each subject to its own license. A complete list of these components and their licenses is provided in the application's About dialog.

The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. QTracks does not warrant that the Software will be uninterrupted, error-free, or free of defects, or that it will operate with any particular hardware or software configuration.

To the maximum extent permitted by applicable law, in no event will QTracks or Leys Services be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to lost profits, lost data, business interruption, or production downtime, arising out of or related to your use of or inability to use the Software, even if QTracks has been advised of the possibility of such damages.

Because the Software is provided to you free of charge, the aggregate liability of QTracks and Leys Services, combined, arising out of or related to this Agreement will not exceed one hundred Swiss francs (CHF 100).

The limitations in this section do not apply to liability arising from gross negligence or wilful misconduct, or to any liability that cannot be excluded by mandatory applicable law.

This Agreement is effective until terminated. It will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

This Agreement is governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict-of-laws provisions. The exclusive place of jurisdiction is the competent courts at the registered seat of Leys Services in 3127 Mühlethurnen, Switzerland, subject to mandatory consumer-protection venues.

This Agreement, together with the QTracks Terms of Service and Privacy Policy published at qtracks.app, constitutes the entire agreement between you and QTracks regarding the Software, and supersedes all prior or contemporaneous communications, whether oral or written.
